This agreement constitutes an official and public offer by the Seller to enter into a contract of sale for the Goods presented on the website www.kosa-eco.com.ua. This agreement is public; that is, in accordance with Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers regardless of their status (individual, legal entity, or individual entrepreneur), without giving preference to one buyer over another.\u00a0<\/span><\/p>

By entering into this Agreement, the Buyer fully accepts the terms and conditions regarding order placement, payment for goods, delivery of goods, returns, liability for fraudulent orders, and all other terms of the Agreement. The Agreement is considered concluded upon clicking the \u00abConfirm Order\u00bb button on the order placement page in the \u00abCart\u00bb section and the Buyer\u2019s receipt of an electronic order confirmation from the Seller.<\/span><\/p>

\u00a0<\/span><\/p>

1.\u00a0<\/b><\/span>Definition of Terms<\/b><\/p>

1.1. Public Offer (hereinafter referred to as the \u00abOffer\u00bb)\u2014a public proposal by the Seller, addressed to an unspecified group of persons, to enter into a contract with the Seller for the remote sale of goods (hereinafter referred to as the \u00abAgreement\u00bb) under the terms and conditions set forth in this Offer.<\/span><\/p>

1.2. Goods or Services \u2013 the subject matter of the agreement between the parties, which was selected by the buyer on the online store\u2019s website and added to the shopping cart, or has already been purchased by the buyer from the seller through distance selling.<\/span><\/p>

1.2. Online Store \u2013 the Seller\u2019s website at the address <\/span>www.kosa-eco.com.ua<\/span><\/a> Created for the purpose of entering into retail and wholesale purchase and sale agreements based on the Buyer\u2019s review of the description of the Goods provided by the Seller via the Internet.\u00a0<\/span><\/p>

1.3. Buyer \u2013 a legally competent natural person who is at least 18 years of age, receives information from the Seller, and places an order to purchase goods presented on the onlinefor purposes not related to the conduct of business activities, or a legal entity or an individual entrepreneur.\u00a0<\/span><\/p>

1.4. Seller \u2013 \u00abInna Anatoliivna Kosyuk, Sole Proprietor\u00bb (identification code 3357616224), a legal entity established and operating in accordance with the current legislation of Ukraine, located at: Ukraine, Berezne, 18 Bukhovycha St.<\/span><\/p>

\u00a0<\/b><\/p>

2.\u00a0<\/b><\/span>Subject Matter of the Agreement<\/b><\/p>

2.1. The Seller agrees to transfer ownership of the Goods to the Buyer, and the Buyer agrees to pay for and accept the Goods in accordance with the terms of this Agreement.\u00a0<\/span><\/p>

2.2. The date of conclusion of the Offer Agreement (acceptance of the offer) and the moment of the Buyer\u2019s full and unconditional acceptance of the terms of the Agreement shall be deemed to be the date on which the Buyer completes the order form located on the online store\u2019s website, provided that the Buyer receives an electronic order confirmation from the Seller. If necessary, at the Buyer\u2019s request, the Contract may be executed in writing.<\/span><\/p>

\u00a0<\/span><\/p>

3.\u00a0<\/b><\/span>Placing an Order<\/b><\/p>

3.1. The buyer places an order with the online store independently using the \u00abShopping Cart\u00bb form, or by placing an order via email or by calling the phone number listed in the online store\u2019s \u201cContact Us\u201d section.\u00a0<\/span><\/p>

3.2. The Seller has the right to refuse to fulfill the order for the Buyer if the information provided by the Buyer when placing the order is incomplete or raises doubts as to its validity.<\/span><\/p>

3.3.<\/span> When placing an order on the website<\/span> Online Store<\/span> The Buyer agrees to provide the following mandatory information required by the Seller to fulfill the order:<\/span>\u00a0<\/span><\/p>

3.3.1.<\/span> Buyer's last name and first name;<\/span>\u00a0<\/span><\/p>

3.3.2.<\/span> the address to which the Goods are to be delivered (if delivery is to the Buyer's address);<\/span>\u00a0<\/span><\/p>

3.3.3.<\/span> contact phone number.<\/span>\u00a0<\/span><\/p>

3.3.4. Identification code for a legal entity or an individual entrepreneur.<\/span><\/p>

3.4.<\/span> The name, quantity, item number, and price of the Product selected by the Buyer are listed in the Buyer's shopping cart on the website<\/span> Online store.<\/span><\/p>

3.5.<\/span> If either Party to the agreement requires additional information, it has the right to request it from the other Party.<\/span> If the Buyer fails to provide the necessary information, the Seller shall not be liable for providing quality service to the Buyer when purchasing goods at<\/span> online store.<\/span><\/p>

3.6.<\/span> When placing an order through the Seller\u2019s operator (Section 3.1 of this Offer), the Buyer agrees to provide the information specified in Sections 3.3\u20133.4.<\/span> of this Offer.<\/span><\/p>

3.7.<\/span> The Buyer accepts the terms of this Offer by entering the relevant information into the registration form on the website<\/span> Online Store<\/span> or when placing an order through a customer service representative.<\/span> After an Order is placed through an Operator, the Buyer's information is entered into the Seller's database.<\/span>\u00a0<\/span><\/p>

3.8.<\/span> The buyer is responsible for the accuracy of the information provided when placing an order.<\/span>\u00a0<\/span><\/p>

3.9.<\/span> When entering into the Agreement, that is,<\/span> By accepting the terms of this offer (the proposed terms for purchasing the Product) and placing an Order, the Buyer confirms the following:<\/span><\/p>

a) The buyer is fully and completely familiar with, and agrees to, the terms of this offer;<\/span>\u00a0<\/span><\/p>

b) he or she grants consent to the collection, processing, and transfer of personal data; such consent to the processing of personal data remains in effect for the entire term of the Agreement, as well as for an unlimited period after its expiration.<\/span> In addition, by entering into this Agreement, the Buyer confirms that he or she has been informed (without the need for additional notice) of the rights established by the Law of Ukraine \u201cOn the Protection of Personal Data,\u201d the purposes of data collection, and the fact that their personal data is transferred to the Seller to enable the fulfillment of the terms of this Agreement, to facilitate mutual settlements, and to receive invoices, certificates, and other documents.<\/span> The Buyer also agrees that the Seller has the right to provide access to and transfer the Buyer\u2019s personal data to third parties without any additional notice to the Buyer for the purpose of fulfilling the Buyer\u2019s order.<\/span> The Buyer is aware of and understands the scope of his or her rights as a data subject under the Law of Ukraine \u201cOn the Protection of Personal Data.\u201d.<\/span>\u00a0<\/span><\/p>

\u00a0<\/b><\/p>

4.\u00a0<\/b><\/span>Product Price and Shipping<\/b><\/p>

4.1 Prices for Goods and Services are set by the Seller at its discretion and are listed on the online store\u2019s website. All prices for Goods and Services listed on the website are in hryvnia and include VAT.\u00a0<\/span><\/p>

4.2 The Seller may unilaterally change the prices of Goods and services depending on market conditions. However, the price of an individual unit of a Good for which the Buyer has paid in full may not be changed unilaterally by the Seller.\u00a0<\/span><\/p>

4.3. The price of the Product listed on the online store\u2019s website does not include the cost of shipping the Product to the Buyer. The Buyer pays the cost of shipping the Goods in accordance with the current rates of the delivery services (carriers) directly to the delivery service (carrier) of their choice.\u00a0<\/span><\/p>

4.4. The price of the Product listed on the online store\u2019s website does not include the cost of shipping the Product to the Buyer\u2019s address.<\/span><\/p>

4.5.<\/span> The Seller may provide an estimated shipping cost for the Product to the Buyer\u2019s address when the Buyer submits a corresponding request to the Seller by email or when placing an order through the online store\u2019s customer service representative.<\/span>\u00a0<\/span><\/p>

4.6.<\/span> The Buyer\u2019s obligation to pay for the Goods is deemed fulfilled upon receipt of the funds by the Seller in its account.<\/span>\u00a0<\/span><\/p>

4.7.<\/span> Payments between the Seller and the Buyer for the Goods are made using the methods specified on the website<\/span> Online Store<\/span> in the \u00abPayment and Shipping\u00bb section.<\/span><\/p>

4.8.<\/span> Upon receipt of the goods, the Buyer must, in the presence of a representative of the delivery service (carrier), verify that the goods comply with the specified quality and quantity requirements (product name, quantity, completeness, expiration date).<\/span><\/p>

4.9.<\/span> Upon acceptance of the Goods, the Buyer or the Buyer\u2019s representative shall confirm by signing the sales receipt, the order, or the shipping invoice that there are no complaints regarding the quantity, appearance, or completeness of the Goods.<\/span>\u00a0<\/span><\/p>

4.10. Title to the Goods and the risk of accidental loss or damage to the Goods shall pass to the Buyer or its Representative upon the Buyer\u2019s receipt of the Goods at the delivery location, whether the Goods are delivered directly by the Seller or transferred by the Seller to the delivery service (carrier) selected by the Buyer.\u00a0<\/span><\/p>

\u00a0<\/b><\/p>

5.\u00a0<\/b><\/span>Rights and Obligations of the Parties<\/b><\/p>

5.1. The Seller is required to:\u00a0<\/span><\/p>

5.1.1. Deliver the goods to the Buyer in accordance with the terms of this Agreement and the Buyer\u2019s order.\u00a0<\/span><\/p>

5.1.2. Not to disclose any private information about the Buyer or provide access to such information to third parties, except as required by law and when fulfilling the Buyer\u2019s Order.<\/span><\/p>

5.2. The Seller has the right to:\u00a0<\/span><\/p>

5.2.1 To unilaterally amend the terms of this Agreement, as well as the prices of Goods and services, by posting them on the online store\u2019s website. All amendments take effect upon publication.\u00a0<\/span><\/p>

5.3 The Buyer agrees to:\u00a0<\/span><\/p>

5.3.1 Before entering into the Agreement, review the content of the Agreement, its terms and conditions, and the prices offered by the Seller on the online store\u2019s website.<\/span><\/p>

5.3.2 In order for the Seller to fulfill its obligations to the Buyer, the Buyer must provide all necessary information that uniquely identifies the Buyer and is sufficient to enable delivery of the ordered Goods to the Buyer.\u00a0<\/span><\/p>

\u00a0<\/b><\/p>

6.\u00a0<\/b><\/span>Return of Goods<\/b><\/p>

6.1. The Buyer has the right to return non-food merchandise of acceptable quality to the Seller if the merchandise does not meet the Buyer\u2019s expectations in terms of shape, dimensions, style, color, or size, or if, for other reasons, the Buyer cannot use it for its intended purpose. The Buyer has the right to return goods of acceptable quality within 14 (fourteen) days, not including the day of purchase. Goods of acceptable quality may be returned if they have not been used and if their marketable appearance, consumer properties, packaging, seals, and labels have been preserved, along with the receipt issued to the Buyer for payment of the Goods. The list of goods that are not subject to return on the grounds specified in this paragraph is approved by the Cabinet of Ministers of Ukraine.\u00a0<\/span><\/p>

6.2. A refund of the cost of goods of acceptable quality to the Buyer shall be made within 30 (thirty) calendar days from the date the Seller receives such Goods, provided that the requirements set forth in Section 6.1 of the Agreement and applicable Ukrainian law are met.\u00a0<\/span><\/p>

6.3. The cost of the goods shall be refunded via bank transfer to the Buyer's account. <\/span>
<\/span>6.4. The Visitor (Buyer) agrees that the Goods purchased by him\/her are not eligible for exchange or return in the following cases:<\/span>
<\/span>6.4.1. More than 14 calendar days have passed since the purchase of the Product.<\/span>
<\/span>6.4.2. Less than 14 calendar days have passed since the purchase of the Product, but the product has been used, the packaging has been damaged and\/or the product is incomplete, tags\/price tags are missing, etc.<\/span><\/p>

\u2013 This product is included in the list of items that cannot be returned or exchanged, in accordance with Resolution No. 172 of the Cabinet of Ministers of Ukraine dated March 19, 1994 (as currently in effect)\u00a0<\/span>https:\/\/zakon.rada.gov.ua\/laws\/show\/172-94-%D0%BF#Text<\/span><\/a>, namely:<\/span>
<\/span>Food products, medicines and medical supplies, and personal hygiene items.<\/span>
<\/span>Non-food items:<\/span>
<\/span>photographic film, photographic plates, photographic paper<\/span>
<\/span>corsetry products<\/span>
<\/span>perfume and cosmetic products<\/span>
<\/span>feather and down products<\/span>
<\/span>soft children's toys<\/span>
<\/span>rubber inflatable children's toys<\/span>
<\/span>toothbrushes<\/span>
<\/span>mouthpieces<\/span>
<\/span>razors<\/span>
<\/span>shaving brushes<\/span>
<\/span>hair combs, combs, and massage brushes<\/span>
<\/span>mutes (for wind instruments)<\/span>
<\/span>violin chins<\/span>
<\/span>gloves<\/span>
<\/span>fabrics<\/span>
<\/span>sheer and lace fabrics<\/span>
<\/span>carpet products sold by the meter<\/span>
<\/span>underwear<\/span>
<\/span>bed linens<\/span>
<\/span>hosiery<\/span>
<\/span>aerosol products<\/span>
<\/span>printed publications<\/span>
<\/span>flat and long steel products, pipe products,<\/span>
<\/span>lumber, moldings (baseboards, trim), panel products<\/span>
<\/span>materials (fiberboard and particleboard,<\/span>
<\/span>(plywood) and glass, cut or trimmed to size,<\/span>
<\/span>specified by the buyer (customer)<\/span>
<\/span>audio and video cassettes, discs for laser-based reading systems with<\/span>
<\/span>recording<\/span>
<\/span>products made from natural and synthetic hair (wigs)<\/span>
<\/span>baby products (diapers, pacifiers, feeding bottles<\/span>
<\/span>etc.)<\/span>
<\/span>manicure and pedicure tools (scissors, nail files, etc.)<\/span>
<\/span>jewelry made of precious metals and gemstones<\/span>
<\/span>stones, organogenic gemstones, and<\/span>
<\/span>semi-precious stones<\/span>
<\/span>6.4.4. The visitor (buyer) refuses to provide photos or videos of the product that he or she considers defective and\/or faulty.<\/span><\/p>

6.5. The return of Goods of acceptable quality to the Seller\u2019s address shall be at the Buyer\u2019s expense, and the Seller shall not reimburse the Buyer for such return.\u00a0<\/span><\/p>

6.6. If defects in the Goods are discovered during the established warranty period, the Buyer personally, in accordance with the procedure and within the time limits established by Ukrainian law, has the right to make claims against the Seller as provided for by the Law of Ukraine \u00abOn the Protection of Consumer Rights.\u00bb When submitting claims for the free rectification of defects, the period for their rectification shall be calculated from the date the Seller receives the Goods into its possession and gains physical access to such Goods.<\/span><\/p>

6.7. The Seller shall consider claims under the Law of Ukraine \u00abOn the Protection of Consumer Rights\u00bb provided that the Buyer submits the documents required by the current legislation of Ukraine. The Seller shall not be liable for defects in the Goods that arose after their transfer to the Buyer as a result of the Buyer\u2019s violation of the rules for use or storage of the Goods, the actions of third parties, or force majeure.\u00a0<\/span><\/p>

6.8.<\/span> The Buyer may not refuse to accept goods of satisfactory quality that have individually specified characteristics if such goods can be used exclusively by the Buyer who purchased them (including, at the Buyer\u2019s request, non-standard sizes, specifications, appearance, configuration, and so on).<\/span> Evidence that the goods have individually identifiable characteristics is the difference in the goods\u2019 dimensions and other characteristics specified in<\/span> online store.<\/span>\u00a0<\/span><\/p>

6.9.<\/span> Returns, in cases provided for by law and this Agreement, shall be made to the address listed on the website under the \u00abContact Us\u00bb section.\u00bb<\/span><\/p>

\u00a0<\/b><\/p>

7.\u00a0<\/b><\/span>Responsibility<\/b><\/p>

7.1.<\/span> The Seller shall not be liable for any damage caused to the Buyer or third parties as a result of improper installation, use, or storage of the Product purchased from the Seller.<\/span>\u00a0<\/span><\/p>

7.2.<\/span> The Seller shall not be liable for the improper or untimely fulfillment of Orders and its obligations in the event that the Buyer provides inaccurate or false information.<\/span>\u00a0<\/span><\/p>

7.3.<\/span> The Seller and the Buyer are responsible for fulfilling their obligations in accordance with the applicable laws of Ukraine and the provisions of this Agreement.<\/span>\u00a0<\/span><\/p>

7.4.<\/span> The Seller or Buyer shall be exempt from liability for full or partial failure to perform their obligations if such failure is the result of force majeure circumstances such as: war or military hostilities, an earthquake, floods, fires, and other natural disasters that occurred beyond the control of the Seller and\/or the Buyer after the conclusion of this contract.<\/span> A Party that is unable to fulfill its obligations shall immediately notify the other Party thereof.<\/span>\u00a0<\/span><\/p>

\u00a0<\/b><\/p>

8.\u00a0<\/b><\/span>Privacy and Protection of Personal Data.<\/b><\/p>

8.1. By providing their personal data on the online store\u2019s website during registration or when placing an Order, the Buyer voluntarily consents to the Seller\u2019s processing, use (including transfer) of their personal data, as well as the performance of other actions provided for by the Law of Ukraine \u00abOn the Protection of Personal Data,\u00bb without any time limit on the validity of such consent.\u00a0<\/span><\/p>

8.2. The Seller agrees not to disclose any information received from the Buyer. It shall not be considered a breach for the Seller to provide information to counterparties and third parties acting under a contract with the Seller, including for the purpose of fulfilling obligations to the Buyer, as well as in cases where the disclosure of such information is required by the applicable laws of Ukraine.<\/span><\/p>

8.3. The Buyer is responsible for keeping their personal information up to date. The Seller shall not be liable for any failure to perform or improper performance of its obligations due to the Buyer\u2019s information being out of date or inaccurate.<\/span><\/p>

\u00a0<\/b><\/p>

9.\u00a0<\/b><\/span>Other Terms and Conditions<\/b><\/p>

9.1. This agreement is entered into within the territory of Ukraine and is governed by the applicable laws of Ukraine.\u00a0<\/span><\/p>

9.2. All disputes arising between the Buyer and the Seller shall be resolved through negotiations. If a resolution to the dispute cannot be reached through negotiations, the Buyer and\/or the Seller have the right to seek resolution of the dispute through the courts in accordance with the applicable laws of Ukraine.\u00a0<\/span><\/p>

9.3. The Seller has the right to amend this Agreement unilaterally, as provided for in Section 5.2.1 of the Agreement. In addition, amendments to the Agreement may also be made by mutual agreement of the Parties in accordance with the procedure provided for by the current legislation of Ukraine.\u00a0\u00a0<\/span><\/p>
